But every subsidiary has its own works council, its own decision-makers, its own pace, and cannot simply be overridden from the centre. One rollout, four things that stay true along the way

1. Map the real structure

A shareholding graph instead of a rigid org chart — capital share, voting share, and type of control (majority, control agreement, de facto, minority, joint) on every connection. Cycles are prevented automatically, capital shares are automatically capped at 100%.

2. Participation is opt-in, per company

Not every subsidiary has to join. A subsidiary with its own governance process stays out, if that is what you want.

3. One trigger, many local processes

The holding starts one process — every participating subsidiary gets its own, full approval process with its own configured approval chain. Real parallel processes, not a master override.

4. Local co-determination stays in force

If a subsidiary's own rules require works-council approval, that step applies automatically — regardless of the process being triggered at group level.
